Welcome to Mosey Terms and Conditions.

These Terms and Conditions (or "Terms") govern your use of Mosey, including the Mosey mobile application ("Mobile App") and the Mosey web application and platform for businesses ("Web App"), collectively referred to as the "Service". These Terms apply to all users, whether individuals using the Mobile App ("Users") or businesses, markets, or event organizers using the Web App ("Businesses").

 

When you create a Mosey account or use any part of the Service, you agree to these Terms. These Terms constitute a legally binding agreement between you and Mosey Limited, a company registered in Ireland ("Mosey", "we", "us", or "our").

 

If we show you sponsored posts or promotions, these Terms also govern how Mosey uses information to show you these posts that Businesses pay us to promote.

 

**Please read these Terms carefully. They include important information about your legal rights, remedies, and obligations.**

 

Definitions

 

In these Terms, the following terms shall have the meanings ascribed to them below:

 

"Account": The account created by a User or Business to access and use the Service.

"Business": Any entity (e.g., restaurant, café, market, event organizer) that creates an Account on the Web App to offer its services, promotions, events, or list job openings.

"Content": Any text, graphics, images, music, software, audio, video, information, or other materials, including but not limited to profiles, posts, ratings, reviews, Mosey Lists, messages, menus, promotions, event details, and job listings.

"Mosey Content": All Content that Mosey makes available through the Service, including any Content licensed from a third party, but excluding User Content and Business Content.

"Mosey List": A curated list of Businesses, events, or promotions created by a User, which can be private or public, and may allow for collaboration.

"Mobile App": The Mosey application designed for Users to discover Businesses, make reservations, create Content, and interact with the Service.

"Service": Collectively, the Mobile App, Web App, all associated features, applications, services, technologies, and software provided by Mosey.

"User": An individual who creates an Account on the Mobile App to use the Service for personal, non-commercial purposes.

"User Content": All Content that a User posts, uploads, publishes, submits, or transmits to be made available through the Service, such as reviews, ratings, posts, and Mosey Lists.

"Business Content": All Content that a Business posts, uploads, publishes, submits, or transmits to be made available through the Service, such as business profiles, menus, promotions, event details, and job posts.

"Web App": The Mosey platform designed for Businesses to manage their presence, offerings, reservations, staff, and interact with Users and the Service.

"Voucher": A digital instrument that can be purchased or obtained through the Service, entitling the holder to goods or services from a participating Business or, in the case of a "Mosey Voucher," from any participating Business, subject to specific terms.

"Ticket": A digital instrument purchased through the Service for entry or participation in an event hosted by a Business.

1. The Mosey Service

We agree to provide you with the Mosey Service. The Service includes all of the Mosey features, applications, services, technologies, and software. The Service is made up of the following aspects:

 

1.1. Discoverability and Connection:

  1. For Users: The ability to find and locate foodservice Businesses and other listed entities. Mosey's primary mission is to help you locate food and related services. You can use filters to refine your search. We may also show you Businesses or Content based on relevance, such as your location (if permission is granted), stated preferences, or interactions with the Service (e.g., "Near Me," "Most Recent," "Following" algorithms).

  2. For Businesses: The ability to create a profile, showcase offerings (menus, events, promotions), manage reservations, post jobs, and connect with Users.

 

1.2. Opportunities to Create, Share, and Interact:

  1. Users can create User Content, including posts, ratings, reviews, and Mosey Lists (which can be private, public, or collaborative).

  2. Businesses can create Business Content, including detailed profiles, posts, promotions, event listings, and job advertisements.

  3. The Service facilitates communication between Users and Businesses through features like comments and direct messaging (Chat).

  4. We use information you provide (e.g., location settings, saved preferences, interaction history) to personalize your experience and show relevant Content, including sponsored Content. Review our Privacy Policy for more details on personalization.

 

1.3. Reservations, Bookings, and Orders:

  1. Users can reserve tables at participating Businesses. This involves providing information like date, time, and number of guests. This data is shared with the Business for booking confirmation and management.

  2. Specific reservation features may include options to indicate lateness, add other Users to a booking (subject to their acceptance), split deposits (where offered by the Business), or gift a reservation.

  3. Users may have the option for advance ordering of menu items from Businesses, where available. Payment for such advance orders may be due at a later stage as specified by the Business.

  4. Businesses (depending on their subscription tier) can manage incoming reservations, table availability, deposits, cancellations, and customer communications related to bookings.

 

1.4. Promotions, Events, and Vouchers:

  1. Businesses can create and manage promotions and events, including ticketed events.

  2. Users can discover and engage with these promotions and events, and purchase Vouchers or Tickets through the Service where offered.

 

1.5. Promoting Safety, Integrity, and Security: 

We develop and use tools and offer resources to our community members that help to make their experiences positive and inclusive. We have systems to combat abuse, violations of our Terms and policies, and harmful or deceptive behaviour. Repeated or severe violations of our Community Guidelines may result in Account suspension or termination. We use all information we have to keep our platform secure and may share information about misuse or harmful content with law enforcement. Learn more in our Community Guidelines.

 

1.6. Developing and Using Technologies: 

We use technologies like artificial intelligence and machine learning to personalize, protect, and improve our Service, including providing "Mosey Advice" to Businesses. Learn more in the Privacy Policy.

 

1.7. Communicating with You: 

We may send you communications (emails, in-app notices) regarding your Account, Service updates, issues, research, or our terms and policies. You can manage some communication preferences in your Account settings.

 

1.8. Ensuring Access to Our Service: 

To operate our global Service, we store and transfer data across our systems, including outside your country of residence. This is essential to provide our Service. See our Privacy Policy for details.

 

1.9. Connecting You with Businesses, Products, and Services: 

Subject to your choices and settings, we use information to personalize your experience, including showing ads, offers, and other sponsored content. We aim to make this content relevant.

 

1.10. Providing and Improving Mosey: 

We use information to develop, test, and improve our Service, conduct research, and understand how people use our Services (e.g., through surveys, testing new features).


 

2. How Our Service Is Funded

 

Mosey uses Business subscriptions, sponsored posts, promotions, along with advertising to fund our Service. Mosey is primarily funded through several streams:

 

2.1. Business Subscriptions: 

Fees paid by Businesses for access to various tiers of features and services on the Web App, as detailed in their respective subscription agreements.

 

2.2. Sponsored Content and Advertising: 

Payments received from Businesses and other organizations to promote their posts, listings, events, or to display other forms of advertisements on the Service 

 

2.3. Promotional Services for Businesses: 

Fees for specific premium promotional features offered to Businesses, which may include, but are not limited to, enhanced visibility options or targeted communication tools like budgeted push notifications. 

 

2.4. Transaction-Based Fees and Commissions: 

Where applicable and disclosed at the point of transaction or service agreement, Mosey may earn a commission, service fee, or other charges on certain transactions facilitated through the Service. This may include, but is not limited to, fees related to the sale of Tickets or Vouchers, processing of deposits, or other specific paid services offered to Users or Businesses.

2.4.1 Delivery and Collection Services

  1. Delivery orders: 6% commission  + €0.89 service fee per order

  2. Collection orders: 4.5% commission  + €0.89 service fee per order

  3. Driver sharing revenue allocation as detailed in Section 4.2.H

  4. Real-time customer notification services: €0.15-€0.20 per targeted notification as detailed in Section 4.2.I

 

2.5. If you choose to use our Service, you allow us to show you ads that Businesses and organisations pay us to promote on and off Mosey.

 

2.6. We show you relevant and useful ads without telling businesses or advertisers who you are. We don't sell your personal information that directly identifies you. We allow advertisers to specify criteria like the location or interests of the audience they want to see their ads. We then show their ad to people who we think might find it relevant.

 

2.7. We provide advertisers and/ or businesses with reports about the performance of their ads (e.g., general demographic and interest information of the audience reached, interaction rates). We don't share information that directly identifies you (such as your name or email address that by itself can be used to contact you or identifies who you are) unless you give us specific permission.

 

2.8. You may see branded content on Mosey posted by Account holders who promote products or services based on a commercial relationship with the business partner mentioned in their content. Learn more about this in our Content Guidelines

 

2.9. You can learn about how we collect and use your information in our Privacy Policy, including more detail on the different types of information we can use to show you ads.

 

3. Your Mosey Account

 

3.1. Account Creation:

  1. To access most features of the Service, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  2.  Users (Mobile App) can typically create accounts using email or social logins (e.g., Apple, Google), subject to availability.

  3. Businesses (Web App) will undergo a specific account creation process, potentially using services like AWS Cognito, and may need to choose a profile type (e.g., business, market, event).

  4. You must be at least 16 years old to create a User Account. Businesses must be legally constituted entities or individuals with the authority to bind that entity.

 

3.2. Account Responsibility and Security:

  1. You are responsible for safeguarding your password and any other credentials used to access your Account. You agree not to disclose your password to any third party.

  2. You are solely responsible for all activities that occur under your Account, whether or not you have authorized such activities.

  3. You must notify Mosey immediately of any unauthorized use of your Account or any other breach of security. Mosey is not liable for any loss or damage arising from your failure to comply with these requirements.

 

3.3. Account Types for Businesses: 

Businesses may have different account or subscription tiers (e.g., Free, Mosey Reserve, Mosey Host) which provide access to varying levels of features and services, particularly concerning reservations, analytics, CRM, and staff management tools. The specific features, limitations, and fees for each tier will be detailed on the Web App or in separate subscription agreements.

 

3.4. Verification: 

  1. We may require you to provide identification or other information to verify your identity or your Business's details before you can use certain features of the Service.

  2. Users may be asked to verify their identity to claim their profile or to settle profile disputes.

 

4. Using Mosey

 

4.1 User-Specific Terms (Mobile App)

 

4.1.A. User Content and Mosey Lists:

  1. You are responsible for your User Content. You retain ownership of your User Content, but you grant Mosey a license as described in Section 5.A.

  2.  When creating Mosey Lists, you can choose to make them private, public, or invite collaborators.

  3. If you invite collaborators to a Mosey List, you are the primary owner and typically have control over deleting the list. Collaborators may add or remove items as permitted by the list settings. All collaborators are responsible for their contributions and must adhere to these Terms and our Community Guidelines.

  4. Public Mosey Lists may be discoverable and viewable by other Users and the public.

  5. You agree that your User Content (including reviews and ratings) will be truthful, based on your own experiences, and will not violate our Community Guidelines.

  6. Creation of Unclaimed Business Profiles: To enhance service discoverability and provide comprehensive coverage of food service businesses, Mosey may create business profiles using publicly available information (such as business names, addresses, and basic contact details). These unclaimed profiles allow Users to discover and interact with businesses that have not yet joined the platform directly. Businesses can claim and verify these profiles at any time through our verification process.

  7. Unclaimed Business Profiles: When rating or adding information (such as tags, cuisine types, or other descriptive content) to unclaimed Business profiles that have been created from publicly available information, you acknowledge that:

    1. Mosey has created these profiles based on publicly accessible business information for the convenience of Users, but the Business has not yet claimed or verified the profile;

    2. Your ratings, reviews, and added information (including but not limited to cuisine tags, business categories, and descriptive content) are your own opinions and observations;

    3. Mosey is not responsible for the accuracy of User-contributed information on unclaimed profiles, including tags, categories, or other descriptive content added by Users;

    4. When a Business subsequently claims and verifies their profile, they may update, correct, or modify information that was previously added by Users;

    5. Your ratings and reviews will remain associated with the Business profile after it is claimed, subject to our standard content policies and the Business's right to respond to reviews in accordance with these Terms.

 

4.1.B. Reservations:

  1. When you make a reservation through the Service, you agree to the terms set by the Business, including any deposit or cancellation policies (see Section 14: Booking Agreements).

  2. Splitting Deposits: If a Business offers the ability to split a deposit for a reservation among multiple Users, Mosey facilitates the request process. Each User is responsible for their portion. Mosey is not liable for failures of other Users to pay their share.

  3. Adding Users to Bookings: If you add other Users to a reservation, they may need to accept the invitation. Their information will be shared with the Business for the booking.

  4. Lateness: You can notify a Business if you will be late for a reservation. The Business has the discretion to hold your table or cancel the reservation based on their policy.

  5. Gifting Reservations: If you book or pay for a reservation as a gift, the recipient must accept it. Terms of the booking (including cancellation/deposit) apply.

  6.  Advance Ordering: If you place an advance order, you agree to the items and any notes submitted. The Business is responsible for fulfilling the order. Mosey is not responsible for the quality, accuracy, or availability of food items.

 

4.1.C. Vouchers and Tickets (User Perspective): 

 

See Section 6 for detailed terms.

 

4.1.4. Third-Party Services (e.g., Taxi Booking):

  1. The Mobile App may offer integrations with third-party services, such as taxi booking APIs (e.g., FreeNow, Uber, Bolt).

  2. If you choose to use these third-party services, you will be subject to their terms and conditions and privacy policies. Mosey acts only as a facilitator for accessing these services and is not a party to your agreement with the third-party provider. We are not responsible for the services provided by these third parties.

 

4.1.5. Location Services and Personalization: 

Some features, like "Near Me" search or distance information (e.g., via Google Maps API), require access to your location data. You can control location permissions in your device settings and app settings. Our use of this data for personalization is described in our Privacy Policy.

 

4.1.6. Virtual Items (e.g., Badges): 

From time to time, Mosey may offer features such as points, badges, or other forms of virtual recognition or rewards ("Virtual Items") based on User activity or other criteria determined by Mosey. These Virtual Items are provided at Mosey's sole discretion, have no monetary value, are not transferable, are not redeemable for cash or any other value, and do not constitute property of any kind. Mosey reserves the right to modify, manage, control, or eliminate Virtual Items at any time, with or without notice, and shall have no liability to you or any third party if Mosey exercises such rights.

 

4.1.7. Maps and Directions Accuracy: 

  1. The Service may integrate with third-party mapping services (including Google Maps) to provide location information, directions, and distance calculations for Businesses listed on the platform. 

  2. Mosey does not guarantee the accuracy, completeness, or reliability of any mapping data, directions, or location information provided through the Service. Maps, directions, and location data are provided by third-party services and may contain errors, inaccuracies, or outdated information. 

  3. Users should verify directions and location information independently before traveling to any Business. Mosey is not responsible for any inconvenience, delays, additional costs, or other issues arising from inaccurate mapping data or directions. 

  4. Business location information displayed on maps is based on data provided by the Business itself. Users should confirm the exact location and accessibility of any Business directly with that Business when in doubt.

 

4.2 Business-Specific Terms (Web App)

 

4.2.A. Profile and Content Responsibility:

  1. Businesses are solely responsible for the accuracy, completeness, and legality of all Business Content they provide, including but not limited to business name, location, opening hours (including special hours like bank holidays), contact information, menu details (prices, descriptions, allergen information, calorie counts), promotion terms, event details, and job postings.

  2. Mosey relies on Businesses to keep this information up-to-date. Failure to maintain accurate information may result in limitations on your Account or visibility on the Service, as outlined in Section 9.3.

  3. Businesses must ensure their Content complies with all applicable laws and regulations (e.g., food safety, advertising standards, employment law).

 

4.2.B. Service Tiers and Subscriptions:

  1. Businesses may subscribe to different service tiers (e.g., Free, Mosey Reserve, Mosey Host) which offer varying features related to reservations, analytics, table management, CRM, staff access, and more.

  2. The specific features, limitations, and fees for each tier are detailed on the Web App or in your subscription agreement. By subscribing to a paid tier, you agree to the recurring payment terms outlined in Section 7.

  3. Mosey grants you a license to use the features associated with your chosen tier for the duration of your subscription.

 

4.2.C. Promotions and Events:

  1. If you offer promotions or events (including ticketed events) through the Service, you are responsible for defining the terms (e.g., validity, price, rules, redemption process, capacity) and honoring them.

  2. For purchased promotions or tickets sold through Mosey, you agree to comply with the terms regarding payment processing, payouts, and any applicable consumer rights (e.g., refunds if required by law or your policy).

  3. Mosey may provide tools like QR code generation for redemption tracking. You are responsible for the proper use of these tools.

 

4.2.D. Job Posts:

  1. If you use the Service to post job openings, you are responsible for the content of the job post, ensuring it is accurate, non-discriminatory, and complies with all applicable employment laws.

  2. Job posts must not contain discriminatory content based on gender, age, race, religion, disability, sexual orientation, or other protected characteristics. 

  3. Mosey is a platform provider and is not involved in the hiring process beyond providing tools for posting and applicant management (e.g., CV viewing, interview scheduling).

  4. You are the data controller for any applicant data you receive through the Service and must handle it in accordance with GDPR and other applicable data protection laws.

  5. Mosey may remove job posts that appear non-compliant without notice or are reported to Mosey. 

  6. Businesses and users indemnify Mosey against employment law claims arising from their job postings or hiring practices, with businesses solely responsible for their implementation.


 

4.2.E. Menu Management: 

You are responsible for the accuracy of menu information, including prices, descriptions, and critically, allergen and calorie information. Mosey disclaims liability for inaccuracies in menu data provided by Businesses (see Section 10).

 

4.2.F. Staff Management and Access Levels:

  1.  If your subscription tier includes staff management features, you can grant varying levels of access to your Account and its features to your authorized personnel.

  2.  You are responsible for managing your staff's access and ensuring their compliance with these Terms.

  3. Any data entered into staff management tools (e.g., rosters, training logs, compliance documents) is your responsibility. Mosey acts as a data processor for this information and will handle it according to our Privacy Policy and any applicable Data Processing Addendum.

  4. If the Service includes features that facilitate electronic signatures or acknowledgements (e.g., for staff onboarding documents or compliance forms), Mosey provides these tools 'as is'. You (the Business) are solely responsible for determining the legal validity, enforceability, and appropriateness of using such electronic signature features for your specific purposes and in compliance with all applicable laws (such as the Electronic Commerce Act 2000 in Ireland and the eIDAS Regulation in the EU). Mosey makes no representations or warranties regarding the legal effect or sufficiency of such features for your particular needs.

4.2.G. Analytics and "Mosey Advice":

  1. The Service may provide you with analytics regarding your performance on the platform. While we strive for accuracy, these analytics are provided for informational purposes and Mosey does not guarantee their correctness or completeness.

  2. "Mosey Advice" features, which may use AI/machine learning to provide recommendations (e.g., when to sponsor a post), are provided as suggestions only. Mosey is not liable for any business decisions you make based on this advice or the outcomes of such decisions.

4.2.H Delivery and Collection Services

  1. Service Description: Mosey facilitates delivery and collection services by connecting Businesses with delivery drivers employed by participating restaurants.

  2. Driver Employment: All delivery drivers are employed by Businesses participating in our platform. Mosey does not employ drivers directly.

  3. Driver Sharing Network: Businesses may participate in our driver sharing network, where drivers employed by one Business may provide delivery services to other participating Businesses in the same geographic area. The employing Business sets rates for driver services and receives payment from Businesses using their drivers.

  4. Revenue Allocation: When shared drivers are used:

    • The Business using driver services pays delivery fees as quoted

    • The employing Business receives payment for driver services at their set rates

    • Mosey processes payments and takes standard commission as detailed in Section 2.4

    • All parties remain responsible for tax compliance

  5. Customer Data: For delivery and collection orders, Businesses receive customer delivery addresses and contact information necessary to fulfill orders. Drivers employed by Businesses may access this information as required for order completion.

  6. Business Obligations: Businesses using delivery services must:

    • Ensure proper employment compliance for any drivers they employ

    • Maintain appropriate insurance coverage for delivery operations

    • Ensure food safety during preparation and handover

    • Provide accurate delivery timeframes

    • Maintain professional standards for all delivery interactions

4.2.I Targeted Customer Notification Services

  1. Service Description: Mosey provides Businesses with the ability to send targeted in-app notifications to Users who have previously interacted with their venue, subject to User consent preferences.

  2. User Consent: Users must explicitly opt-in to receive marketing notifications from each individual Business. Users may withdraw consent for any Business at any time through their account settings.

  3. Data Sharing: Mosey does not share User contact details with Businesses. We send in-app notifications on behalf of Businesses using first names and dining preferences only.

  4. Notification Types and Pricing:

    • Previous customers: €0.15 per notification

    • Non-followers: €0.20 per notification

  5. Content Guidelines: Businesses are responsible for ensuring notification content complies with applicable marketing and consumer protection laws.

  6. Frequency Limits: Mosey reserves the right to implement reasonable frequency limits to prevent notification abuse and maintain User experience quality.

4.2.J Multi-Location Management Services

  1. Service Description: Businesses operating multiple venues may access unified management tools to coordinate operations, staff, and customer relationships across locations.

  2. Data Access Permissions:

    • Primary managers may access customer data and operational information across all locations within their Business group

    • Location-specific managers may only access data for their designated venue

    • Customer data remains separated by individual location and is not merged into unified profiles

  3. Individual Location Obligations: Each location remains individually responsible for compliance with local regulations, licensing requirements, and customer service standards.

 

4.2.K. Use of Third-Party Services (e.g., Stripe, Cognito):

  1. The Web App uses third-party services for functionalities like payment processing (e.g., Stripe) and account authentication (e.g., AWS Cognito).

  2. Your use of these integrated third-party services may be subject to their respective terms and conditions and privacy policies. Mosey is not responsible for the services provided by these third parties.

 

4.2.L. Business-Initiated Communications to Users: 

If the Service provides you with tools to send communications to Users (such as push notifications, direct messages, or emails), you are solely responsible for the content, timing, and legality of such communications. You warrant that you have all necessary consents and permissions from Users to send such communications, particularly for marketing purposes, and that your communications comply with all applicable laws (including, but not limited to, data protection laws like GDPR, and anti-spam legislation) and Mosey's policies, including our Community Guidelines. Mosey provides the platform for such communications but does not send them on your behalf, nor does it vet their content or legality prior to sending. You agree to indemnify Mosey against any claims arising from your breach of this clause.

 

5. Content on Mosey

 

5.1. Your Content (User Content and Business Content):

  1. We do not claim ownership of your Content. Nothing is changing about your rights in your Content. You are free to share your Content with anyone else, wherever you want.

  2.  However, to provide the Service, we need certain legal permissions from you (known as a "license"). When you share, post, or upload Content that is covered by intellectual property rights (like photos, videos, text) on or in connection with our Service, you hereby grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your Content (consistent with your privacy and application settings).

  3. This license will end when your Content is deleted from our systems. You can delete Content individually or all at once by deleting your Account. To learn more about how we use information, and how to control or delete your Content, review the Privacy Policy and visit the Mosey FAQ.

  4. You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to grant us the license described above and that your Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.

 

5.2. Mosey Content and Intellectual Property:

  1. The Service itself, including all Mosey Content (e.g., our text, graphics, logos, images, software, algorithms, designs, and the overall look and feel), is owned by or licensed to Mosey and is protected by copyright, trademark, and other intellectual property laws of Ireland and international conventions.

  2. If you use Content covered by intellectual property rights that we have and make available in our Service (for example, images, designs, videos, or sounds we provide that you add to Content you create or share), we retain all rights to our Content (but not yours).

  3. You can only use our intellectual property and trademarks or similar marks as expressly permitted by our Brand Guidelines or with our prior written permission.

  4. You must obtain written permission from us or under an open-source license to modify, create derivative works of, decompile, or otherwise attempt to extract source code from us.

 

5.3. Content Moderation, Reporting, and Community Guidelines:

  1. We have the right (but not the obligation) to monitor, review, screen, or edit User Content and Business Content.

  2. We can remove or restrict access to any Content (including User Content and Business Content) or information you share on the Service if we believe that it violates these Terms of Use, our policies (including our Mosey Content Guidelines), or if we are permitted or required to do so by law.

  3. We provide tools for Users and Businesses to report Content they believe violates our policies or the law. Please refer to our Community Guidelines for more information on what is prohibited and how to report issues.

  4. Repeated violations of our policies may lead to Account suspension or termination (see Section 16).

 

5.4. MOSEY PROPRIETARY RIGHTS

  1. The Service includes proprietary algorithms, recommendation systems, matching technologies, and business methods developed by Mosey ("Proprietary Technology").

  2. Users and Businesses acknowledge that Proprietary Technology constitutes valuable trade secrets and confidential information of Mosey.

  3. Any attempt to reverse engineer, decompile, or extract Proprietary Technology is strictly prohibited and may result in immediate termination and legal action.

  4. Data aggregation, screen scraping, or automated data extraction from the Service is prohibited without express written consent.

 

6. Vouchers and Tickets

 

6.1. General Terms for Vouchers and Tickets:

  • Businesses may offer Vouchers (for their own goods/services or participate in "Mosey Vouchers") or Tickets for events through the Service.

  • The terms and conditions specific to each Voucher or Ticket (e.g., value, validity period, redemption instructions, event details, refund policy) are set by the issuing Business and will be displayed at the time of offer or purchase. Users agree to these terms upon purchase or acquisition.

  • Mosey facilitates the transaction for Vouchers and Tickets sold through the Service but is not the seller of the underlying goods, services, or event access, unless explicitly stated. The contract for the goods, services, or event access is between the User and the Business.

  • These provisions are made in accordance with the Consumer Rights Directive (2011/83/EU), which provides EU consumers with the right to clear information and, in some cases, a 14-day withdrawal period, unless waived or excluded under law.

  • In accordance with national and EU consumer protection laws, refunds may be required under the Consumer Rights Directive or local transpositions, and Businesses are obligated to honour those requirements.

 

6.2. Purchase and Redemption:

  1. Users may purchase Vouchers or Tickets using permitted payment methods. Payment processing may be handled by third-party providers (see Section 7.3).

  2. Vouchers and Tickets must be redeemed in accordance with their specific terms and any instructions provided by the Business or Mosey. Businesses are responsible for honoring valid Vouchers and Tickets.

  3. Mosey may provide QR codes or other digital means for Voucher/Ticket validation.

 

6.3. Mosey Vouchers:

  1. "Mosey Vouchers" may be offered, which can be redeemed at any Business participating in the Mosey Voucher scheme, subject to the scheme's terms.

  2. Businesses that opt into the Mosey Voucher scheme agree to accept valid Mosey Vouchers and will be reimbursed by Mosey according to a separate agreement or stated payout terms.

 

6.4. Gifting: 

Users may be able to gift Vouchers or Tickets to other Users. The recipient must accept the gift, and the original terms of the Voucher/Ticket apply.

 

6.5. Lost or Stolen Vouchers/Tickets: 

Mosey and Businesses are generally not responsible for lost, stolen, or unauthorized use of Vouchers or Tickets, unless otherwise required by law.

 

6.6. Refunds and Cancellations:

  1. Refund and cancellation policies for Vouchers and Tickets are determined by the issuing Business, subject to applicable consumer rights laws in Ireland and the EU (e.g., Consumer Rights Act 2022).

  2. If a User is entitled to a refund, they should typically contact the Business directly. Mosey may facilitate communication or process refunds in certain circumstances as agreed with the Business.

 

6.7. Business Obligations: 

Businesses offering Vouchers or Tickets are responsible for:

    (i) Clearly stating all terms and conditions.

    (ii) Honoring all valid Vouchers and Tickets according to their terms.

    (iii) Complying with all applicable laws regarding Vouchers, gift cards, and event ticketing.

 

7. Payments (Primarily for Businesses)

 

7.1. Subscription Fees for Businesses:

  1. Businesses subscribing to paid tiers of the Web App agree to pay the applicable subscription fees as displayed at the time of subscription or renewal.

  2. Fees are typically charged on a recurring basis (e.g., monthly) in advance.

  3. We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any fee changes. If you do not agree to the fee change, you may cancel your subscription before the change takes effect.

 

7.2. Payment Methods and Billing:

  1. Businesses must provide a valid payment method to pay for subscriptions. You authorize us (or our third-party payment processor) to charge your payment method for all applicable fees.

  2. If we are unable to collect payments after repeated attempts, we reserve the right to place limitations on the Account, downgrade your service tier, suspend access to paid features, or hide the Business profile from public view until payment is made.

  3. You are responsible for keeping your billing information current.

 

7.3. Third-Party Payment Processor (Stripe):

  1. Mosey uses a third-party payment processor (e.g., Stripe) to handle payments for subscriptions, and potentially for Vouchers and Tickets.

  2. By making payments through the Service, you agree to be bound by the terms and conditions of the payment processor. Mosey is not responsible for the acts or omissions of the payment processor. Your payment information is provided directly to the payment processor and is subject to their privacy policy.

 

7.4. Taxes: 

All fees are exclusive of applicable taxes (e.g., VAT), unless stated otherwise. You are responsible for paying all taxes associated with your purchases or subscriptions.

 

7.5. Cancellations and Refunds for Subscriptions (Businesses):

  1. You may cancel your Business subscription according to the terms specified at the time of subscription or in your Account settings.

  2. Subscription fees are generally non-refundable, except where required by law or as otherwise determined by Mosey in its sole discretion. Cancellation will typically take effect at the end of the current billing period.

 

7.6. PAYMENT SERVICES COMPLIANCE

  1. Mosey partners with authorised payment service providers for payment processing. We do not provide payment services directly and are not regulated by the Central Bank of Ireland as a payment institution.

  2. For Vouchers and stored value products, Mosey acts as distributor only. The issuing Business remains liable for redemption obligations.

  3. All payment disputes should be directed to the relevant payment service provider in the first instance.

  4. Businesses acknowledge that payment processing fees and terms are set by third-party providers and may change independently of Mosey's service fees.

  5. Where required by EU law, such as the Consumer Rights Directive or national transpositions, certain fees or payments may be refundable. This applies particularly in the case of defective service or improper charge under unfair contract term rules (Directive 93/13/EEC).

 

8. Data Protection and Privacy

 

8.1. Providing our Service requires collecting and using your information. Our Privacy Policy explains how we collect, use, store, and share your personal data when you use the Service. It also explains your rights regarding your personal data (e.g., access, rectification, erasure) under GDPR and other applicable data protection laws. You must read and agree to the Privacy Policy to use our Service.

 

This section is based on obligations arising under the General Data Protection Regulation (EU 2016/679), commonly known as the GDPR, and its national implementation through the Irish Data Protection Act 2018.

 

8.2. Mosey as Data Controller and Processor:

  1. For personal data of Users collected directly by Mosey for the provision and improvement of the Service, Mosey acts as a data controller.

  2. For Businesses, where Mosey processes personal data as a data processor on your behalf (e.g., for CRM data, staff management, job applicant data), the terms of our Data Processing Addendum, accessible here, are hereby incorporated by reference into these Terms and shall apply. You agree to the terms of the DPA by using these features.

 

8.2. DATA PROCESSING ROLES AND LEGAL BASIS:

  1. Mosey acts as data controller for personal data collected directly through the Service for platform operation, improvement, and marketing purposes under legitimate interests (Article 6 (1)(f) GDPR) and, where applicable, consent (Article 6 (1)(a) GDPR). 

  2. For Businesses using staff management, CRM, or job posting features, Mosey acts as data processor. A separate Data Processing Agreement (DPA) governs this relationship and is incorporated by reference. Businesses warrant they have lawful basis for processing personal data through our platform. 

  3. Users and Businesses have rights under GDPR including access, rectification, erasure, portability, restriction of processing, and objection. Contact privacy@moseyfoodfinder.com to exercise these rights. 

  4. Personal data may be transferred outside the EEA only where adequate protection exists through adequacy decisions, standard contractual clauses, or other appropriate safeguards under GDPR.

 

8.3. Cookies: 

We use cookies and similar technologies. Our Cookie Policy provides more information about how we use these technologies and how you can manage your preferences.

 

9. Business Regulations and Conduct

This section applies specifically to Businesses using the Web App.

 

9.1. Third-Party Advertising: 

Mosey's intended use is for Businesses to promote their own foodservice business, market, or event on our platform. You may not use our platform for the promotion, advertising, or marketing of unrelated products or services on behalf of third-party businesses, advertisers, or other social media or booking platforms without explicit written permission from Mosey.


 

9.2. Solicited Ratings & Reviews: 

Mosey values transparency and authentic feedback. Businesses hosted on Mosey cannot engage in any form of manipulation of User ratings, reviews, or other feedback. This includes, but is not limited to, offering monetary compensation, discounts, rewards, or other incentives in exchange for positive ratings or reviews, biased or misleading feedback, or the removal of negative ratings, reviews, or feedback without explicit written permission from Mosey. You may not post fake reviews of your own Business or competitor Businesses.

 

9.3. Transparency & Due Diligence (Accuracy of Information):

  1. Businesses must endeavor to ensure that all of their profile information, including but not limited to name, address, contact details, opening hours (including special/holiday hours), menu items, pricing, allergen information, promotion terms, and event details, is accurate, complete, and kept up-to-date.

  2. In order to provide a fair and transparent platform for Users and other Businesses, we may suspend or limit Businesses that fail to maintain accurate details on their profile.

 

9.4. Customer Complaints: 

Complaints we receive from Users that pertain to the specific performance, standards, goods, or services of a Business hosted on Mosey (e.g., food quality, service at the establishment) will generally be directed to that Business for resolution. Mosey is not responsible for resolving such disputes.

 

9.5. Cross-Promotion: 

You may not promote other websites, platforms, or services on our platform if they are in direct competition with Mosey or if such promotion is excessive or detracts from the User experience, without explicit written permission from Mosey. Links to your own official website or social media profiles are generally acceptable if relevant to your Business.

 

9.6. Compliance with Laws: 

Businesses are solely responsible for ensuring their use of the Service, including all Business Content and services offered, complies with all applicable laws, regulations, and industry codes (e.g., food safety, licensing, advertising standards, consumer protection, employment law).

 

9.7. REGULATORY COMPLIANCE FOR BUSINESSES

  1. Food Safety: Businesses warrant compliance with all applicable regulations, laws, licences and safety standards.

  2. Businesses and users indemnify Mosey against claims arising from non-compliance with these requirements.

 

10. Our Commitments, Disclaimers, and Warranties

 

10.1. Mosey strives to provide a reliable and useful Service. However, we cannot and do not promise that any of the Content generated by Users or Businesses:

(i) Is accurate, complete, and up-to-date at all times (especially Business-provided information like opening hours or menu prices, or User-generated reviews).

(ii) Does not infringe third-party rights.

(iii) Is legal.

(iv) Or that it will not offend you.

 

10.2. You understand and agree that the Content you may see on the platform does not necessarily represent our views or values and may not always be suited to your purpose.

 

10.3. Mosey may contain links to third-party websites, advertisements, services, offers, or other events or activities that are not provided, owned, or controlled by Mosey (e.g., taxi booking APIs, Business websites). We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access any third-party website, service, or content from Mosey, you do so at your own risk and you agree that Mosey will have no liability arising from your use of or access to any third-party website, service, or content.

 

10.4. Accuracy of Business Data: 

While Mosey encourages Businesses to provide accurate information, we cannot and do not guarantee the accuracy of Business data or their details, such as food items, location, opening hours, allergen advice, menu pricing, or any associated business information. Users should verify critical information directly with the Business. Furthermore, Mosey is not responsible for the accuracy of information added by Users to unclaimed Business profiles. Businesses are encouraged to claim and actively manage their profiles to ensure the accuracy of their information presented on the Service.

 

10.5. Quality of Services from Businesses: 

Mosey is a platform provider. We are not responsible for the quality, safety, or legality of the food, beverages, services, or experiences offered by Businesses listed on our platform. We are not liable for any issues arising from your interactions with or services received from a Business, including but not limited to illness, injury, dissatisfaction, or financial loss.

 

10.6. Verification: 

In order to try and make our Services as trustworthy as possible, Mosey may take steps to verify information from Businesses. However, we cannot guarantee that these measures will be successful in all cases or that there won't be instances of misleading or fraudulent information or Businesses on the platform. If you suspect a Business of being misleading, fraudulent, or violating our terms, please report it to support@moseyfoodfinder.com or through in-app reporting tools.

 

10.7. Warranties Disclaimer:

  1. THE SERVICE, ALL MOSEY CONTENT, AND ANY OTHER INFORMATION, PRODUCTS, AND MATERIALS CONTAINED IN OR ACCESSED THROUGH THE SERVICE, ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS AND WITHOUT WARRANTY OF ANY KIND. MOSEY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, CONDITIONS, OR INDEMNITIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM A COURSE OF DEALING, PERFORMANCE, OR TRADE USAGE.

  2. MOSEY DOES NOT WARRANT THAT YOUR USE OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT MOSEY WILL REVIEW THE INFORMATION OR MATERIALS MADE AVAILABLE THROUGH THE SERVICE FOR ACCURACY, OR THAT IT WILL PRESERVE OR MAINTAIN ANY SUCH INFORMATION OR MATERIALS WITHOUT LOSS. MOSEY SHALL NOT BE LIABLE FOR DELAYS, INTERRUPTIONS, SERVICE FAILURES, OR OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS OR OTHER SYSTEMS OUTSIDE THE REASONABLE CONTROL OF MOSEY.

  3. THE FOREGOING DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOU MAY HAVE OTHER STATUTORY RIGHTS (E.G., UNDER THE CONSUMER RIGHTS ACT 2022 IF YOU ARE A CONSUMER). HOWEVER, THE DURATION OF STATUTORILY REQUIRED WARRANTIES, IF ANY, SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. FOR CONSUMERS, THIS DOES NOT AFFECT YOUR STATUTORY RIGHTS WHERE THE SERVICE IS NOT OF SATISFACTORY QUALITY, FIT FOR PURPOSE, OR AS DESCRIBED.

 

10.8. STATUTORY CONSUMER RIGHTS (IRELAND):

For Users who are consumers resident in Ireland, nothing in these Terms affects your statutory rights under the Consumer Protection Act 2007, the Sale of Goods and Supply of Services Act 1980, or the Consumer Rights Directive as implemented in Irish law. Where we provide services directly to consumers, such services will be provided with reasonable skill and care. This section does not limit Mosey's liability for: (a) Death or personal injury caused by negligence; (b) Fraud or fraudulent misrepresentation; (c) Any other liability that cannot be excluded under Irish law. For Business users, the limitation of warranties in Section 10.7 applies to the fullest extent permitted by Irish commercial law.

 

Nothing in this section limits consumers’ rights under applicable EU law, including but not limited to the Digital Content and Digital Services Directive (EU 2019/770), which requires digital services to conform to the contract and be updated to maintain functionality and security.

 

11. Limitation of Liability and Release

 

11.1. Limitation of Liability:

  1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOSEY (INCLUDING ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  2. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;

  3. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES (INCLUDING BUSINESSES);

  4. ANY CONTENT OBTAINED FROM THE SERVICE; OR

  5.  UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

  6.  IN NO EVENT SHALL THE AGGREGATE LIABILITY OF MOSEY EXCEED THE GREATER OF ONE HUNDRED EURO (€100) OR THE AMOUNT YOU PAID MOSEY, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

  7. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT MOSEY HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

  8. THIS DOES NOT EXCLUDE OR LIMIT OUR LIABILITY FOR DEATH, PERSONAL INJURY, OR FRAUDULENT MISREPRESENTATION CAUSED BY OUR NEGLIGENCE, OR FOR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY IRISH LAW.

 

These limitations are subject to the mandatory rights afforded to consumers under applicable EU law, including the Consumer Rights Directive and Unfair Contract Terms Directive (93/13/EEC).

 

11.2. Release (Interactions with Businesses): 

Businesses are solely responsible for their interactions with you and any and all claims, injuries, illnesses, damages, liabilities, and costs ("Claims") suffered by you as a result of your interaction with or visit to any Business or from any product or service of any Business. To the maximum extent permitted by law, you release Mosey from any and all such Claims. Mosey is neither an agent of, nor is connected with, any hosted Business beyond providing the platform Service.

 

12. Your Commitments and Conduct

In return for our commitment to provide the Service, we require you to make the below commitments to us:

 

12.1. Who Can Use Mosey:

  1. You must be at least 16 years old (or the minimum age required in your country to use our Services without parental approval).

  2. If you are using Mosey on behalf of a Business or other entity, you represent that you have the authority to bind that entity to these Terms.

  3. You must not be prohibited from receiving any aspect of our Service under applicable laws or engaging in payments-related Services if you are on an applicable denied party listing.

  4. We must not have previously disabled your Account for violation of law or any of our policies.

  5. You must not be a convicted sex offender.

 

12.2. How You Can't Use Mosey (Prohibited Conduct): 

Providing a safe and open Service for a broad community requires that we all do our part.

  1. You can't use any robot, scraper, spider, or other automatic or manual device, process, or means to access the Services of Mosey, or copy any Mosey Content or other Users' or Businesses' Content, without express written permission from Mosey (except for standard search engine indexing).

  2. You can't take any action that imposes, or may impose, an unreasonable or a disproportionately large load on Mosey Services or infrastructure.

  3. You can't utilise any device, software, or routine that will interfere or attempt to interfere with the functionality of the Services.

  4. You can't use any portion of the Services or Mosey Content, or incorporate any portion of the Services or Mosey Content into any product or service provided or owned by a third party, without our express permission.

  5. You can't impersonate others or provide inaccurate information. You don't have to disclose your real identity on Mosey (e.g., you can use a pseudonym), but you must provide us with accurate and up-to-date registration information. You may not impersonate someone or something you aren't, and you can't create an Account for someone else unless you have their express permission.

  6. You can't do anything unlawful, misleading, or fraudulent or for an illegal or unauthorized purpose. This includes infringing or violating someone else's rights, including their intellectual property rights.

  7. You can't post misleading, false, or fake ratings, reviews, check-ins, posts, or Mosey Lists. Reviews and ratings must be based on genuine personal experiences.

  8. You can't make bookings (reservations) with no genuine intention of honoring them (e.g., reserving multiple Businesses for the same time slot with the intent to "no-show" at some).

  9. You commit to canceling a reservation in advance if you cannot attend, giving the Business reasonable notice as per their cancellation policy or, where none is stated, at least 30 minutes notice where feasible. For further information please see the Booking Agreements section (14).

  10. You can't violate (or help or encourage others to violate) these Terms or our policies, including in particular the Mosey Community Guidelines.

  11. If you post branded content, you must comply with our Branded Content Guidelines and applicable laws. Report conduct or content that violates these Terms or our guidelines via in-app tools or by email to support@moseyfoodfinder.com.

  12. You can't do anything to interfere with or impair the intended operation of the Service. This includes misusing any reporting, dispute, or appeals channel, such as by making fraudulent or groundless reports or appeals.

  13. You can't attempt to create Accounts or access or collect information in unauthorized ways. This includes creating Accounts or collecting information in an automated way without our express permission.

  14. You can't sell, license, or purchase any Account or data obtained from us or our Service. This includes attempts to buy, sell, or transfer any aspect of your Account (including your username); solicit, collect, or use login credentials or badges of other Users; or request or collect Mosey usernames, passwords, or Business logins or passwords.

  15. You can't post someone else's private or confidential information without permission or do anything that violates someone else's rights, including intellectual property rights (e.g., copyright infringement, trademark infringement, counterfeit, or pirated goods) or privacy rights. You may use someone else's works under exceptions or limitations to copyright and related rights under applicable law. You represent you own or have obtained all necessary rights to the Content you post or share. Learn more, including how to report Content that you think infringes your intellectual property rights, in our Content Guidelines.

  16. You can't modify, translate, create derivative works of, or reverse engineer our products or their components, except as permitted by law.

  17. You can't use a domain name or URL in your username without our prior written consent.

  18. You can't use Mosey's chat feature to spam, harass, or send unsolicited commercial messages, or to promote or solicit products, goods, or services unless they directly pertain to a legitimate interaction with a Business hosted on Mosey regarding their offerings.

  19. You (as a User) can't pay or exchange gifts or other compensation in return for reviews, posts, or inclusion in Mosey Lists from other Users unless this is clearly and expressly declared within the caption or description of the relevant review, post, or Mosey List, and complies with advertising regulations. (See also Section 9.2 for Businesses).

 

13. Permissions You Give to Us

As part of our agreement, you also give us permissions that we need to provide the Service (in addition to the content license in Section 5.A):

 

13.1. Permission to use your username, profile picture, and information about your relationships and actions with Accounts, ads, and sponsored content**: You give us permission to show your username, profile picture, and information about your actions (such as likes, reviews, follows) or relationships (such as follows) next to or in connection with Accounts, ads, offers, and other sponsored Content that you follow or engage with that are displayed on Mosey, without any compensation to you. For example, we may show that you liked a sponsored post created by a brand that has paid us to display its ads on Mosey. As with actions on other Content and follows of other Accounts, actions on sponsored Content and follows of sponsored Accounts can be seen by people who have permission to see that Content or follow, consistent with your privacy settings.

 

13.2. Permission to update software: 

You agree that we can download and install updates to the Service on your device automatically. You may be able to adjust these automatic updates through your device settings.

 

14. Booking Agreements (User-Business)

 

14.1. When a User makes a reservation with a Business through the Service, a direct agreement ("Booking Agreement") is formed between the User and the Business. Mosey is not a party to this Booking Agreement, other than as a platform facilitating the booking.

 

14.2. Each Business has the right to set its own booking policy, which may include:

  1. Instating a cancellation fee.

  2. Requiring a deposit.

  3. Defining a required notice period for cancellations before a fee may be applicable.

  4. Specifying policies for no-shows, late arrivals, or changes to bookings.

  5. These policies should be clearly communicated by the Business on their Mosey profile or at the time of booking.

 

14.3. Users may be required to provide valid payment card details when making a booking to secure it or to cover potential deposits or cancellation fees. This payment information is securely stored with our third-party payment processor (e.g., Stripe), and the Business will not have direct access to your full card details. However, the Business may be authorized to process fees or charges against the card provided by you where deemed applicable under their stated booking policy and these Terms.

 

14.4. The User agrees to the terms of the Booking Agreement set by the Business when the booking is placed. It is the User's responsibility to review and understand these terms.

 

14.5. Mosey claims no responsibility and will generally not get involved in disputes that pertain directly to a Booking Agreement (e.g., disputes over food quality, service at the restaurant, or application of a cancellation fee by the Business in accordance with their stated policy). However, Users and Businesses can report violations of Mosey's platform Terms or Community Guidelines.

 

15. Service Disputes and Limitations

Business-Customer Disputes

  1. Direct Resolution: For disputes relating to food quality, delivery service, reservation issues, voucher redemption, or any service provided directly by a Business, Users must contact the Business directly. Mosey acts as a platform facilitator and is not responsible for resolving disputes between Users and Businesses.

  2. Business Contact Requirements: All Businesses must maintain current contact information and reasonable response timeframes for customer service inquiries.

  3. Delivery Disputes: For delivery-related issues including late delivery, food quality during transport, or driver conduct, Users should first contact the Business. If the issue relates to driver employment or vehicle standards, this remains the employing Business's responsibility.

  4. Notification Content Disputes: For inappropriate, misleading, or unwanted notification content, Users may report through the Platform or contact the sending Business directly. Mosey reserves the right to suspend notification privileges for Businesses that violate content guidelines.

  5. Multi-Location Issues: For Businesses with multiple locations, Users should direct inquiries to the specific location where the service was provided, unless the issue requires primary management intervention.

  6. Platform Technical Issues: Mosey is responsible only for technical platform functionality, payment processing errors, and account access issues.

16. Indemnity

 

16.1. You agree to defend, indemnify, and hold harmless Mosey and its managers, shareholders, officers, directors, employees, representatives, and agents (collectively, the “Indemnitees”), from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

    (a) your access to or use of the Service or Mosey Content;

    (b) your User Content or Business Content;

    (c) your violation of these Terms or our Privacy Policy;

    (d) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or

    (e) your violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative, and legislative authorities.

 

16.2. You will also indemnify the Indemnitees against any claims that information or material which you have submitted to us is in violation of any law or in breach of any third-party rights (including, but not limited to, claims in respect of defamation, invasion of privacy, breach of confidence, infringement of copyright, or infringement of any other intellectual property right).

 

16.3. We reserve the right to exclusively defend and control any claims arising from the above and any such indemnification matters, and you will fully cooperate with us in any such defenses. You will not settle any claim without Mosey's prior written consent.

 

17. Term, Termination, and Account Deletion

 

17.1. Term: 

These Terms will remain in full force and effect while you use the Service or have an Account.

 

17.2. Termination by You: 

You may terminate your Account at any time by using the account deletion feature within the Service settings or by contacting us at support@moseyfoodfinder.com.

 

17.3. Termination or Suspension by Mosey:

  1. We can remove or restrict any Content or information you share on the Service if we believe that it violates these Terms of Use, our policies (including our Mosey Community Guidelines), or we are permitted or required to do so by law.

  2. We can refuse to provide or stop providing all or part of the Service to you (including terminating or suspending your Account) immediately to protect our community or services, or if you create risk or legal exposure for us, violate these Terms of Use or our policies (including our Mosey Community Guidelines), if you repeatedly infringe other people’s intellectual property rights, or where we are permitted or required to do so by law.

  3. We can also terminate or change the Service, remove or block Content or information shared on our Service, or stop providing all or part of the Service if we determine that doing so is reasonably necessary to avoid or mitigate adverse legal or regulatory impacts on us, or for business reasons such as discontinuing a feature or the Service.

 

17.4. Notice of Termination/Suspension: 

In some cases when we remove Content or suspend/terminate an Account, we’ll let you know (unless doing so may expose us or others to legal liability; harm our community of users; compromise or interfere with the integrity or operation of any of our services, systems, or products; where we are restricted due to technical limitations; or where we are prohibited from doing so for legal reasons). We will explain any options you have to request another review, where applicable. Learn more about our Complaints Handling Process (Section 17).

 

17.5. Effect of Termination:

  1. If you delete or we disable/terminate your Account, these Terms shall terminate as an agreement between you and us, but certain provisions will still apply even after your Account is terminated, disabled, or deleted, including: Section 5 (Content on Mosey - specifically the license you grant us for content not yet deleted from backups, and our IP rights), Section 8 (Data Protection - regarding retained data), Section 10 (Our Commitments and Disclaimers), Section 11 (Limitation of Liability and Release), Section 15 (Indemnity), Section 16.5 (Effect of Termination), and Section 18 (Our Agreement and What Happens if We Disagree).

  2. When you request to delete Content or your Account, the deletion process will automatically begin no more than 30 days after your request. After the Content is deleted from active systems, it may take us up to another 90 days to remove it from backups and disaster recovery systems.

  3. Content will not be deleted within 90 days of the account deletion or content deletion process beginning in specific situations outlined in the original section 12.3 (e.g., where content used by others, technical limitations, legal obligations to retain).

 

17.6. If you believe your Account has been terminated in error, or you want to disable or permanently delete your Account, you can contact us at support@moseyfoodfinder.com.

18. Complaints Handling Process

At Mosey we value all forms of feedback and we strive to provide a safe and inclusive environment for all of our users. If you wish to make a complaint about the Service, Content on the Service, or another User's or Business's conduct related to the Service, you can voice your concerns to us at support@moseyfoodfinder.com. Your complaint will be reviewed by an appropriate member of our team who will aim to respond within a reasonable timeframe (e.g., 2 business days for an initial acknowledgement, with further investigation time as needed).

 

When submitting a complaint, please provide as much information as possible, such as:

  1. Who or what the complaint is directed at (e.g., specific User, Business, Content).

  2. The reason for the complaint, with specific details.

  3. The time and date that the issue occurred, if applicable.

  4. Any relevant screenshots or links.

 

When submitting a Business complaint, please provide the Business name and address along with the details of the complaint.

When submitting a User complaint, please provide the username or other identifying information such as a Mosey List name.

 

We will investigate complaints in accordance with our internal policies and procedures, and applicable law. Outcomes may include content removal, warnings, account suspension, or termination, where appropriate.

 

19. Our Agreement and What Happens if We Disagree

 

19.1. Our Agreement:

  1. Your use of music on the Service is also subject to our Music Guidelines [Link if applicable]. If you use certain other features or related services (e.g., specific Business subscription tiers), you will be provided with an opportunity to agree to additional terms that will also become a part of our agreement. If any of those terms conflict with this agreement, those other terms will govern with respect to that specific feature or service.

  2. If any aspect of this agreement is found to be unenforceable by a court of competent jurisdiction, the rest will remain in effect.

  3. Any amendment or waiver to our agreement must be in writing and signed by us (or posted by us as an update to these Terms). If we fail to enforce any aspect of this agreement, it will not be a waiver of our right to do so later.

  4. We reserve all rights not expressly granted to you.

 

19.2. Who Has Rights Under this Agreement:

  1. This agreement does not give rights to any third parties, except as explicitly stated (e.g., Indemnitees in Section 16).

  2. You cannot transfer your rights or obligations under this agreement without our prior written consent.

  3. Our rights and obligations can be assigned to others. For example, this could occur if our ownership changes (as in a merger, acquisition, or sale of assets) or by law.

 

19.3. Who Is Responsible if Something Happens (Liability Summary - see also Section 11):

  1. We will use reasonable skill and care in providing our Service to you and in keeping a safe, secure, and error-free environment, but we cannot guarantee that our Service will always function without disruptions, delays, or imperfections. Provided we have acted with reasonable skill and care, we do not accept responsibility for: losses not caused by our breach of these Terms or otherwise by our acts; losses which are not reasonably foreseeable by you and us at the time of entering into these Terms; any offensive, inappropriate, obscene, unlawful, or otherwise objectionable Content posted by others that you may encounter on our Service (which should be reported to us); and events beyond our reasonable control.

  2. The above does not exclude or limit our liability for death, personal injury, or fraudulent misrepresentation caused by our negligence. It also does not exclude or limit our liability for any other things where the law does not permit us to do so (e.g., for breach of your statutory rights as a consumer if you are a User, where applicable).

 

19.4. How We Will Handle Disputes (Governing Law and Jurisdiction):

  1. For Users (Consumers): If a claim or dispute arises out of or relates to your use of the Service as a consumer, both you and Mosey agree that you may resolve your individual claim or dispute against us, and we may resolve our claim or dispute against you, in the courts of Ireland. The laws of Ireland will apply without regard to conflict of law provisions. As a consumer, you may also benefit from mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law. The European Commission provides a list of consumer dispute resolution entities in the Member States, Norway and Iceland here [https://consumer-redress.ec.europa.eu/dispute-resolution-bodies_en]. Mosey is not obliged to participate in an alternative dispute resolution procedure before a consumer arbitration board.

  2. For Businesses: If a claim or dispute arises between us that relates to your use of the Service in any other capacity (including, but not limited to, access or use of the Service for a business or commercial purpose), you agree that any such claim or dispute must be resolved exclusively in a competent court in Ireland, and that Irish law will govern these Terms and any claim or dispute that has arisen or may arise between you and Mosey, without regard to conflict of law provisions.

 

Nothing in these Terms affects your right as a consumer to rely on mandatory provisions of the law in your country of residence under Regulation (EC) No. 593/2008 (Rome I) and the Consumer Rights Directive.

 

19.5. Unsolicited Material: 

We always appreciate feedback or other suggestions, but may use them without any restrictions or obligation to compensate you for them, and are under no obligation to keep them confidential.

 

19.6. FORCE MAJEURE 

 Mosey shall not be liable for failure to perform obligations due to causes beyond reasonable control, including: 

  1. Acts of God, natural disasters, pandemics, government actions; 

  2. War, terrorism, civil unrest, strikes, labour disputes; 

  3. Internet failures, cyber attacks, data breaches affecting third-party services; 

  4. Failures of essential third-party services (payment processors, cloud providers, APIs); 

  5. Changes in law rendering performance illegal or impractical. Performance obligations resume when the force majeure event ends. If force majeure continues for more than 60 days, either party may terminate affected service agreements with 30 days' notice.

20. Regulatory Compliance and Monitoring 

 

20.1. Mosey reserves the right to: 

  1. Monitor Business compliance with applicable Irish and EU regulations; Including compliance with EU legislation such as the Consumer Rights Directive, Digital Services Act, GDPR, and relevant food safety and e-commerce regulations.

  2. Request documentation proving regulatory compliance; 

  3. Suspend or terminate non-compliant Business accounts; 

  4. Report suspected regulatory violations to relevant authorities where required by law.

 

20.2 Businesses are responsible for their compliance with regulatory requirements. They must pause, update or delete their account on Mosey as necessary if they are enforced by regulatory authorities. 

 

20.3 It will be the Businesses responsibility to inform users or upcoming reservation of anything which may be detrimental to their health and safety.

 

20.4 Failure to provide required notifications may result in immediate account suspension and refusal to renew an account, or generate a new account.

 

21. Updating These Terms

We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. Unless otherwise required by law, we will notify you (for example, through our Service or by email to the address associated with your Account) within a reasonable timeframe before we make material changes to these Terms and give you an opportunity to review them before they go into effect. We may ask you to “agree” or “accept” these updated Terms, but if you continue to use the Service after the changes become effective, it will be taken as your agreement to the updated Terms and you will be bound by them. If you do not want to agree to these or any updated Terms, you can delete your Account before they become effective.
